CM Bank: Independent Non-Executive Director Li Chaoxian to Step Down in April 2026

China Merchants Bank Co., Ltd. (CM Bank) disclosed that Independent Non-Executive Director Li Chaoxian has submitted his resignation, citing personal reasons. His departure will take effect on 28 April 2026.

Li Chaoxian will simultaneously relinquish several board roles: • Chairman of the Related Party Transactions Management and Consumer Rights Protection Committee • Member of the Strategy and Sustainable Development Committee • Member of the Remuneration and Appraisal Committee

The original term of office was scheduled to expire on 17 August 2027. CM Bank confirmed that his resignation will not reduce the board size below its quorum and that all work handovers have been completed in accordance with internal regulations.

The departing director stated that he holds no disagreements with the board and has no outstanding public commitments. The board expressed gratitude for Li Chaoxian’s service and contributions during his tenure.

As of the announcement date, CM Bank’s board composition stands at two executive directors, seven shareholder (non-executive) directors, and five independent non-executive directors.
