China Tianrui Sets Up Independent Board Committee for Forensic Probe; Share Trading Still Halted

Bulletin Express08-24

China Tianrui Group Cement Company Limited has formed an Independent Board Committee (IBC) to steer an external forensic investigation into historical prepayments and fund flows, a key requirement set out by the Hong Kong Stock Exchange in its resumption guidance. The IBC was established on 21 August 2026 and consists solely of the company’s three independent non-executive directors—Mr. Mak Tin Sang (chairman), Mr. Kong Xiangzhong and Mr. Zhang Yu.

The committee’s mandate includes: 1) appointing a qualified investigation firm with forensic accounting expertise; 2) supervising the investigation’s planning, execution and timetable; 3) maintaining direct communication with both the investigation firm and the company’s auditors to ensure audit issues are fully addressed; 4) reviewing interim and final reports to determine whether identified irregularities are isolated or systemic; 5) recommending remedial actions to the board; and 6) reporting findings to, and answering enquiries from, the Stock Exchange.

The move follows earlier disclosures on 30 March, 23 June and 10 August 2026 detailing delays in publishing audited results for the year ended 31 December 2025 and outlining steps required for trading resumption.

Trading in China Tianrui shares has been suspended since 9:07 a.m. on 23 March 2026 and will remain halted pending further notice. The company reiterated that shareholders and potential investors should act with caution until additional information is released.
