COUNTRY GARDEN (02007): Executive Director and President Mo Bin Appointed as Co-Chairman

COUNTRY GARDEN (02007) announced that Mr. Mo Bin, the company's Executive Director and President, has been reassigned from President to Co-Chairman, effective December 4, 2025. He will continue to serve as an Executive Director of the company. Chairperson Ms. Yang Huiyan will remain responsible for leading the Board of Directors and overseeing its operations, fulfilling the role of Chairperson as stipulated in the company's organizational bylaws, Appendix C1 of the Hong Kong Stock Exchange's Corporate Governance Code, and the Listing Rules.

Mr. Mo has also resigned as a member of the company's Remuneration Committee, effective December 4, 2025. Following this reassignment, Mr. Mo will no longer serve as the company's authorized representative under Rule 3.05 of the Listing Rules, effective the same date.

Dr. Cheng Guangyu, an Executive Director of the company, has been appointed as President. Dr. Cheng has also been appointed as a member of the Remuneration Committee and as an authorized representative, with all appointments taking effect on December 4, 2025.

In light of the above changes to the authorized representative, Mr. Roger Luo, the company's Joint Company Secretary, has been reassigned from Alternate Authorized Representative under Rule 3.06(2) of the Listing Rules for Mr. Mo to Alternate Authorized Representative for Dr. Cheng, effective December 4, 2025.
