Changjiu Holdings (6959) Issues Supplemental Announcement on Connected Transactions and Compliance

Changjiu Holdings Limited (6959) has released additional details regarding an earlier announcement dated 31 October 2025 on connected and continuing connected transactions under a Property Lease and Comprehensive Service Agreement, alongside a note on non-compliance with Listing Rules.

The rent and service fees of RMB5.95 per square meter per day were determined with reference to prevailing market conditions and comparable properties in similar locations, which typically range from around RMB5 to RMB7.5 per square meter per day. The right-of-use asset for the relevant property amounted to approximately RMB14,460 thousand as of 1 January 2025.

According to the supplemental information, the proposed annual cap for the Staff Canteen Service Fees is based on an estimated average of 600 diners during 2025 (increasing to 700 by 31 October 2025), approximately 250 working days per year, and a calculated service fee of RMB27.4 per person per day. The relevant calculations and assumptions were stated to be in line with the historical arrangement disclosed in the Company’s prospectus. The board deems the adjustments in the annual cap to be fair and reasonable, serving the best interests of both the Company and shareholders. The announcement was dated 21 November 2025 and signed by the board chairwoman, Ms. Li Guiping.
