China Cinda confirms Wang Pengcheng as Independent Director and Audit Chair; Lu Zhengfei resigns

China Cinda Asset Management Co., Ltd. announced that the National Financial Regulatory Administration (NFRA) has approved the qualification of Wang Pengcheng as an independent non-executive director (INED). His three-year term took effect on 4 July 2026 following shareholder approval on 21 January 2026.

Wang Pengcheng now serves as: • Chairman of the Audit Committee • Member of the Strategic Development Committee • Member of the Connected Transaction Control Committee

The company will execute a service contract with Wang, with remuneration to follow internal regulations and subsequent approvals by both the board and shareholders’ meeting. Wang holds no shares in China Cinda, has no relationships with substantial shareholders, directors or senior management, and meets all Hong Kong Listing Rules independence criteria.

Simultaneously, Lu Zhengfei resigned as INED, Audit Committee chairman, Risk Management Committee member and Connected Transaction Control Committee member upon expiration of his term. China Cinda’s board recorded its appreciation for Lu’s service.

Post-changes, the board comprises: • Executive directors: Zhang Weidong, Song Weigang, Zhao Limin • Non-executive directors: Zeng Tianming, Zhang Zhongmin, Wang Kunhui • Independent non-executive directors: Wang Changyun, Sun Maosong, Shi Cuijun, Wang Zhongze, Wang Pengcheng

The company reported no other matters requiring shareholder attention related to these director changes.
