CGN Power Co., Ltd. announced on 2 July 2026 that its board has received resignation reports from independent non-executive directors (INEDs) Li Fuyou and Xu Hua. Li will step down upon reaching the six-year tenure limit for INEDs under mainland regulations, while Xu is departing for personal career reasons. Both will continue to serve until successors are elected at an upcoming extraordinary general meeting (EGM).
To fill the vacancies and restore the board’s required proportion of INEDs (at least one-third), the board has nominated Cheng Wei and Peng Yi as INED candidates. Their appointments are subject to shareholder approval at the EGM and review by the Shenzhen Stock Exchange.
Key qualifications and roles of the nominees: • Cheng Wei (born March 1965): Senior engineer with extensive experience in power grid construction and corporate management. Previous roles include chairman of Pinggao Group and deputy general manager of China Electrical Equipment Group. If elected, he will chair the Nomination Committee and join both the Audit & Risk Management Committee and the Nuclear Safety Committee. • Peng Yi (born September 1962): Senior accountant holding a doctorate in economics and broad expertise in financial and corporate management. Formerly general manager of China National Coal Group and executive director of China Coal Energy. If elected, he will chair the Audit & Risk Management Committee and join the Remuneration and Nomination Committees.
Remuneration for each INED will follow the board’s 2023 framework: RMB0.10 million for an “excellent” annual performance rating, RMB0.08 million for “good,” and RMB0.06 million for “basically competent or below.” Service agreements will run until the end of the company’s fourth board session.
Upon approval of the new appointments: 1) Cheng Wei becomes Nomination Committee chair and member of the Audit & Risk Management and Nuclear Safety Committees. 2) Peng Yi becomes Audit & Risk Management Committee chair and member of the Remuneration and Nomination Committees. 3) Board chairman Yang Changli will exit, and director Li Li will join, the Nomination Committee.
