ZTO Express (Cayman) Inc. (ZTO) reported that between 12–27 August 2026 it repurchased 2.37 million American depositary shares (ADSs), each representing one Class A ordinary share, on the New York Stock Exchange. The purchases were executed at prices ranging from USD 21.12 to USD 23.00 per ADS, with a volume-weighted average cost of roughly USD 21.82, bringing total cash outlay to about USD 51.64 million.
All repurchased ADSs—aggregating 2.37 million shares—remain uncancelled as of 27 August 2026. Consequently, ZTO’s issued share capital was unchanged at 557.33 million Class A ordinary shares and 206.10 million Class B ordinary shares, or 763.43 million shares in total.
Under the general mandate approved on 16 June 2026, the company is authorised to repurchase up to 76.60 million shares. Including the latest transactions, ZTO has bought back 4.94 million shares, equivalent to 0.64% of the issued share base on the mandate date. A 30-day moratorium on new share issues or treasury share sales runs until 26 September 2026 following the most recent buy-back.
The board confirms that all repurchases were conducted in compliance with Hong Kong Listing Rules and relevant U.S. exchange regulations. No new shares were issued, and no treasury shares were sold during the period covered by the disclosure.
