Country Garden Expands Share Capital by 0.44 Million Shares After Partial Conversion of 2025 Mandatory Convertible Bonds

Country Garden Holdings Company Limited reported a marginal increase in its share capital following the partial conversion of two tranches of zero-coupon mandatory convertible bonds (MCBs) originally issued on 30 June 2025.

On 6 August 2026, holders of MCB (A), which carries a 78-month maturity, converted bonds into 432,177 new ordinary shares at HKD 2.60 per share. On the same date, holders of MCB (B), with a 114-month maturity, converted bonds into 3,607 new ordinary shares at HKD 10.00 per share.

The combined 435,784 newly issued shares represent approximately 0.00094 percent of Country Garden’s pre-event share base of 46.51 billion shares. Consequently, the company’s total issued share capital rose from 46.51 billion to 46.51 billion shares.

During the period under review, the company did not hold, repurchase or cancel any treasury shares, nor did it conduct any on-market sales of treasury stock.

Country Garden affirmed that the conversions were authorised by its board and executed in full compliance with Hong Kong Stock Exchange listing rules and all relevant regulatory requirements.
