Skymission Group to Raise HK$32.32 Million via 320 Million-Share Placement at 15.8% Discount

Skymission Group Holdings Limited (SKYMISSION GP) has entered into a placing agreement with SolarStone Capital Limited to issue up to 320 million new shares under its existing general mandate.

The new shares will be placed on a best-effort basis to not fewer than six independent professional or institutional investors at HK$0.101 each—representing a 15.83% discount to the 14 August 2026 closing price of HK$0.120 and a 19.84% discount to the five-day average price of HK$0.126. The placing commission is fixed at HK$0.30 million.

The maximum issuance equals 20% of Skymission’s current 1.60 billion issued shares and 16.67% of the enlarged 1.92 billion-share capital post-placement. All new shares will rank pari passu with existing shares, and no placee is expected to become a substantial shareholder.

Gross proceeds are estimated at HK$32.32 million; after expenses, net proceeds are expected to be about HK$31.70 million, translating to a net issue price of HK$0.099 per share. Management plans to allocate approximately 50% of the funds to settle trade and other payables (HK$84.10 million outstanding as of 31 March 2026) and the remaining 50% to staff costs.

The placement relies on the company’s general mandate and therefore does not require further shareholder approval. Completion is conditional upon Stock Exchange approval for listing and is expected on or before 4 September 2026, subject to customary termination provisions.

Post-placement, controlling shareholder Liangpin International Holdings Limited will see its stake diluted from 53.33% to 44.44%, while public float will rise from 46.67% to 55.56%, including the new investors’ 16.67% holding. Skymission has not conducted any equity fundraising in the past 12 months.
