MELCO INT'L DEV (00200) has announced that on April 30, 2026, its wholly-owned subsidiary, MI IP Licensing Services 1 Limited, intends to sell MI IP Licensing Services 2 Limited to MCO (IP) Holdings Limited, a wholly-owned subsidiary of Melco Crown Entertainment. The transaction is valued at $375 million, payable in cash. The target company serves as the intellectual property holding entity within the group and is currently a wholly-owned subsidiary of MELCO INT'L DEV via the seller. Upon completion of the transaction, the target company will become a wholly-owned subsidiary of Melco Crown Entertainment via the buyer.
As of the date of this announcement, MELCO INT'L DEV holds approximately 56.32% of the total issued shares of Melco Crown Entertainment. Following this transaction, MELCO INT'L DEV will retain an approximate 56.32% interest in the target company through its stake in Melco Crown Entertainment. The transaction is effectively an internal group restructuring, resulting in a net sale of approximately 43.68% of the company's interest in the target company.
The primary assets of the target company are a portfolio of trademarks, which constitute a bundle of intellectual property rights. These include various trademarks, service marks, brands, certification marks, logos, trade dress, trade names, and other similar source or origin identifiers, as well as domain names used by the Melco Crown Entertainment group across multiple jurisdictions, including Macau, the Philippines, Cyprus, and other regions. The portfolio covers marks and features such as "Melco," "新濠," "Morpheus," "摩珀斯," and related brand names and designs.
The board of directors believes that transferring the target company, and thereby the trademarks, to the Melco Crown Entertainment group will place these intellectual property assets within the holding entity of Melco Crown Entertainment, which is the primary operating platform for the group's leisure, gaming, and entertainment businesses. This move is expected to streamline and simplify the group's intellectual property structure. By aligning ownership with the operating entities that use the trademarks in their integrated resort businesses, the transaction will facilitate more effective management, protection, and enforcement of the trademarks across multiple jurisdictions. Simultaneously, it will allow MELCO INT'L DEV to continue benefiting from the value and development of these trademarks through its approximately 56.32% stake in Melco Crown Entertainment.
