SG Group Holdings Limited reported that all resolutions tabled at its 30 September 2026 Extraordinary General Meeting (EGM) were approved by poll, clearing the way for a corporate rebranding and a five-for-one share subdivision.
Shareholders representing 23.97 million shares—equivalent to 100% of votes cast and 74.92% of the 32.00 million shares in issue—supported both proposals. The special resolution to change the company’s English and Chinese names exceeded the 75% approval threshold, while the ordinary resolution to split each existing share into five subdivided shares comfortably met the simple-majority requirement.
Following the vote, SG Group confirmed that the name change now awaits the issuance of a certificate of incorporation on change of name by the Registrar of Companies in the Cayman Islands, after which the company will complete the requisite filings in Hong Kong. The share subdivision will take effect on 5 October 2026, with trading in the subdivided shares commencing at 9:00 a.m. the same day.
Boardroom Share Registrars (HK) Limited acted as scrutineer for the poll. All directors attended the meeting except non-executive director Charles Choi King Ting, who was absent due to other work commitments.
