Jiangxi Copper Company Limited will convene an extraordinary general meeting (EGM) at 14:30 on 7 August 2026 at the company’s headquarters in Nanchang, Jiangxi Province. Holders of H shares are invited to vote—either in person or by proxy—on a slate of 13 resolutions, with a strong focus on the planned Hong Kong Main Board listing of subsidiary Jiangxi JCC Copper Foil Technology Company Limited (“JCC Copper Foil”).
Key matters on the agenda are:
1. Spin-Off and Listing of JCC Copper Foil • Eleven special resolutions seek shareholder approval for the spin-off, including confirmation of legal and regulatory compliance, the detailed listing plan, and assessments of commercial rationale, feasibility and shareholder protection measures. • The board also requests a mandate to manage all subsequent actions related to the transaction and proposes an assured entitlement arrangement for existing H-shareholders.
2. Corporate Governance and Continuity • Resolutions cover the maintenance of operational independence post-spin-off and confirm JCC Copper Foil’s capacity for regulated operations after listing.
3. Auditor Appointments for FY 2026 • Ernst & Young Hua Ming LLP is nominated as domestic financial and internal-control auditor, while Ernst & Young is proposed as the overseas financial auditor. An executive director will be authorised to finalise service agreements and remuneration based on workload.
4. Remuneration Policy Update • Shareholders will consider a new Remuneration Management System for Jiangxi Copper’s directors and senior management.
Shareholders unable to attend may appoint proxies; if no proxy is named, the meeting chairman or any company director will act on their behalf. Signed proxy forms (and any powers of attorney) must be lodged with the company’s Board Secretariat in Nanchang or with Computershare Hong Kong Investor Services Limited at least 24 hours before the EGM or any adjournment.
