ZYY adds 86.00 million new shares through HK$0.50 placing; total issued shares rise to 516.00 million

• Share capital structure As of 30 April 2026, ZIYUANYUAN Holdings Group Limited (abbr. ZYY) maintained authorised capital at 1.00 billion ordinary shares with a par value of HK$0.10, representing HK$100.00 million in registered share capital. No change was recorded during the month.

• Issued share increase During April, 86.00 million new ordinary shares were issued via a placing/subscription on 15 April 2026 at HK$0.50 per share, equivalent to gross proceeds of approximately HK$43.00 million. Consequently, the company’s issued share count grew from 430.00 million to 516.00 million shares, with no treasury shares on record.

• Public-float compliance Following the share issue, ZYY confirmed compliance with Hong Kong’s minimum 25 % public-float requirement.

• Outstanding convertibles Two tranches of convertible bonds remain outstanding: 1) HK$52.00 million issued on 26 March 2025 and 2 April 2025 2) HK$10.00 million issued on 10 April 2025 Both tranches carry a conversion price of HK$1.51 per share. No conversions occurred in April, leaving the full HK$62.00 million outstanding.

• Other equity instruments The company reported no outstanding share options, warrants, treasury share movements, or other equity-linked agreements during the period.
