Skymission Group outlines AGM agenda with director re-elections, auditor renewal and refreshed share mandates

Skymission Group Holdings Limited has circulated the proxy form and detailed agenda for its annual general meeting scheduled for 28 August 2026 at 2:00 p.m. in Shenzhen.

Key items to be tabled for shareholder approval are:

1. Financial statements • Consideration and adoption of the audited financial statements, together with directors’ and independent auditor’s reports, for the fiscal year ended 31 March 2026.

2. Board composition • Re-election of eight directors: executive directors Mr Zou Feng, Mr Guo Jiequn and Mr Leung Wing Chun; non-executive director Mr Yuan Bingbo; and independent non-executive directors Mr Chan Ngai Fan, Mr Dai Chenglong and Ms Wu Kin Yi. • Authorisation for the board to determine directors’ remuneration.

3. Auditor • Re-appointment of TARGET CPA LIMITED as external auditor and approval for the board to fix its remuneration.

4. Share issuance and buy-back authorities • General mandate allowing directors to issue new shares representing up to 20% of the Company’s issued share capital. • General mandate permitting repurchase of up to 10% of the issued shares. • Extension of the share-issue mandate by an amount equivalent to shares repurchased under the buy-back authority.

Shareholders may appoint proxies to vote on their behalf, with completed proxy forms to be lodged at Tricor Investor Services Limited no later than 48 hours before the meeting. Voting on all resolutions will be conducted by poll in accordance with Hong Kong Listing Rule 13.39(4).
