FIH Schedules 22 May 2026 AGM; Board Proposes US 3.47 Cents Final Dividend and 10% Share Mandates

FIH Mobile Limited has issued the proxy form for its annual general meeting, confirming the session will take place on 22 May 2026 at 11:00 a.m. in Kowloon Shangri-La, Hong Kong.

Key resolutions to be tabled include:

• Financial Results: Shareholders will be asked to receive the audited consolidated financial statements for the year ended 31 December 2025 together with the directors’ and independent auditor’s reports.

• Dividend Proposal: The board recommends a final dividend of US 3.47 cents per ordinary share for FY 2025.

• Board Composition: Re-election of directors Mr. Huang Ying Shih, Mr. Lin Chia-Yi and Ms. Chen Shu Chuan, with authorisation for the board to fix their remuneration.

• Auditor Reappointment: Deloitte Touche Tohmatsu is nominated for another term, with board-determined remuneration.

• Capital Management: – A general mandate permitting the board to allot, issue or deal with additional shares— including any transfer of treasury shares—up to 10% of issued share capital (excluding treasury shares). – A separate mandate allowing the company to buy back up to 10% of its issued shares (excluding treasury shares).

Shareholders of record may appoint proxies and submit voting instructions; completed proxy forms must reach Computershare Hong Kong Investor Services no later than 48 hours before the meeting.
