HUAQIN raises holding in Nexchip Semiconductor to 10.91% through HK$65.77 million on-market purchase

HUAQIN announced that wholly owned subsidiary Huaqin Telecom acquired 1.996 million H-shares of Nexchip Semiconductor on 23 July 2026 via on-market trades at an average price of HK$32.95 per share. The transaction cost HK$65.77 million and lifted the Group’s interest in Nexchip from 10.82% to 10.91%.

Including earlier purchases—6.0% in August 2025, 5.0% in May 2026 and five incremental on-market trades between 10 and 22 July 2026—the latest deal is aggregated under Hong Kong Listing Rule 14.22. The combined acquisitions exceed the 5% asset ratio threshold but remain below 25%, qualifying as a discloseable transaction that requires announcement but not shareholder approval.

Funding for the latest purchase came from internal cash resources, with no use of proceeds from HUAQIN’s global offering. Management stated the investment reflects confidence in Nexchip’s long-term prospects and aims to strengthen supply-chain synergies.

Nexchip Semiconductor, a 12-inch pure-play foundry listed in both Shanghai and Hong Kong, reported the following under PRC GAAP: • Revenue: RMB 9.25 billion in 2024, RMB 10.89 billion in 2025, and RMB 2.91 billion for the three months to 31 March 2026. • Profit after tax: RMB 0.48 billion in 2024, RMB 0.47 billion in 2025, and RMB 28.52 million for the first quarter of 2026. • Total assets stood at RMB 50.40 billion at end-2024, RMB 53.30 billion at end-2025 and RMB 54.71 billion as of 31 March 2026, while net assets attributable to shareholders reached RMB 20.87 billion, RMB 21.77 billion and RMB 21.92 billion, respectively.

HUAQIN considers the transaction terms fair and reasonable and expects no material adverse impact on its financial position.
