CDB Leasing (Stock Code: 1606) Announces Disposal of Four Aircraft

China Development Bank Financial Leasing Co., Ltd. (the “Company”) disclosed that certain wholly owned subsidiaries of CDB Aviation Lease Finance DAC (“CDBALF”) entered into a sale and purchase agreement on 6 March 2026 with JSA International U.S. Holdings, LLC (“JSA”). According to the announcement, the subsidiaries will sell four B737-8 aircraft through the disposal of beneficial interest in the trust established over these aircraft.

The Company stated that the transaction qualifies as a discloseable transaction under Chapter 14 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, having exceeded the 5% threshold but remaining below 25%. The Stock Exchange granted a waiver from strict compliance with certain disclosure requirements, provided the Company complies with Rule 14.33C of the Listing Rules.

The aircraft are accompanied by their existing leases, and JSA is indirectly wholly owned by Mitsubishi HC Capital Inc., a company listed on the Tokyo Stock Exchange. The Company confirmed its status as a Qualified Aircraft Lessor and indicated that the disposal is conducted in the ordinary and usual course of business, with the terms considered fair and reasonable and in the interests of the Company and its shareholders as a whole.
