Ta Yang Group Secures Waiver Until 30 November 2026 to Restore Board and Audit Committee Compliance

Bulletin Express09-02

Ta Yang Group Holdings Limited announced that Hong Kong Exchanges and Clearing Limited has granted a waiver permitting non-compliance with Listing Rules 3.10(1), 3.10(2) and 3.21 until 30 November 2026.

The exemption follows the resignation of Independent Non-executive Director Ms. Zhang Li on 1 June 2026, which left the company with: • only two independent non-executive directors (INEDs) versus the minimum three required under Rule 3.10(1); • no INED possessing professional accounting or related financial management expertise as stipulated in Rule 3.10(2); and • an audit committee of two members, below the three-member threshold set by Rule 3.21.

Since 1 June 2026, the board has been searching for candidates who combine sector expertise in digital marketing—an expanding business line for Ta Yang—with recognised accounting qualifications. Two prospects were evaluated, but their appointments were not finalised.

The waiver grants the group almost six additional months to complete interviews, background checks and formal nomination procedures. Ta Yang stated it will “use its best endeavour” to fill the vacancies and will release further announcements in line with Listing Rules requirements.

As of 2 September 2026, the board consists of: • Executive Directors: Ms. Shi Qi (Chairlady) and Mr. Li Jiuhua; • Non-executive Directors: Mr. Law Wai Ip Vincent, Mr. Gu Shixiang, Mr. Han Lei and Mr. Wang Dongzhu; • Independent Non-executive Directors: Mr. Zhang Li and Dr. Xie Jun.

No financial figures were affected by the waiver, and normal business operations continue while the search for a qualified independent director progresses.
