China Everbright Greentech (1257) Announces Connected Transaction for Excessive Household Waste Disposal

China Everbright Greentech Limited (1257) announced a connected transaction on 23 October 2025 through its wholly-owned subsidiary, Everbright Ecological Remediation, which entered into an Excessive Household Waste Co-treatment Agreement with Everbright Environmental Energy (Baoying) Co., Ltd. (“Baoying Energy”). Baoying Energy is an indirect subsidiary of China Everbright Environment Group Limited (“CEEGL”), the controlling shareholder of China Everbright Greentech.

Under the agreement, Baoying Energy will treat a total of 48,000 tonnes of excessive household waste generated by the Baoying County Yundong Household Waste Landfill Site Closure Project, with 25,000 tonnes disposed of by the end of 2025 and an additional 23,000 tonnes in 2026. The fee for incineration is set at RMB126.29 per tonne, resulting in an estimated total consideration of approximately RMB6.06 million.

As Baoying Energy is an indirect subsidiary of CEEGL, the transaction falls within the connected transaction requirements under Chapter 14A of the Listing Rules. The highest applicable percentage ratio exceeds 0.1% but is under 5%, making the transaction subject to reporting, announcement, and annual review requirements. However, it is exempt from circular and independent shareholders’ approval. The Directors consider this arrangement fair and reasonable, enabling efficient disposal of the waste given Baoying Energy’s proximity to the project site and capacity to handle the required volume.
