HashKey Holdings Signs Framework Agreement for Potential 100% Acquisition of Singapore-Based Asia Pacific Exchange

HashKey Holdings Limited announced that its wholly-owned subsidiary, HKDAG (Singapore) Pte. Ltd., signed a non-legally binding Framework Agreement on 22 July 2026 with Asia Pacific Exchange Pte. Ltd. (APEX) and APEX’s major shareholder, Mr. Zhu Yuchen, to explore acquiring the target company’s entire equity interest.

The contemplated transaction (the “Proposed Acquisition”) would give HashKey Holdings a fully regulated foothold in Singapore. APEX holds an “Approved Exchange” licence, while its affiliate, Asia Pacific Clear Pte. Ltd., operates under an “Approved Clearing House” licence granted by the Monetary Authority of Singapore (MAS). Management views the platform’s integrated issuance and clearing capabilities as complementary to HashKey’s strategy of building a diversified, multi-jurisdictional fintech ecosystem.

Key terms remain open. Consideration, payment structure and other material conditions will be determined following comprehensive legal, financial and business due-diligence reviews to be conducted by third parties. Execution of definitive transaction documents and MAS approval are prerequisites for closing.

The board noted that all existing shareholders of APEX are independent third parties. Should binding agreements be signed, the deal is expected to constitute a notifiable transaction under Chapter 14 of the Hong Kong Listing Rules. HashKey will release further announcements in accordance with regulatory requirements.

As of the announcement date, no definitive documents have been executed, and there is no assurance that the Proposed Acquisition will proceed. Investors are advised to exercise caution when dealing in HashKey Holdings’ securities.
