CTF Services Limited will convene its 2026 Annual General Meeting (AGM) on 17 November 2026 at 11:00 a.m. in Meeting Room N201, Hong Kong Convention and Exhibition Centre, adopting a hybrid format that permits both physical and online participation.
Key matters for shareholder approval include:
• FY2026 Results and Dividend: Shareholders will be asked to receive the audited financial statements for the year ended 30 June 2026 and approve a final ordinary dividend of HK$0.33 per share.
• Board Composition: Six directors—Dr Cheng Kar Shun, Henry; Mr Lam Jim; Mr Cheng Chi Leong, Christopher; Mr William Junior Guilherme Doo; and Professor Chan Ka Keung, Ceajer—are standing for re-election. The board also seeks authority to set directors’ remuneration.
• Auditor Re-appointment: The company proposes to re-appoint Messrs PricewaterhouseCoopers as independent auditor and empower the board to determine the auditor’s remuneration.
• Capital Mandates: A general mandate authorising the board to issue, allot or deal with additional shares and to dispose of any treasury shares up to 20% of the company’s issued share capital will be tabled. A separate resolution seeks authority to repurchase up to 10% of issued shares. An extension mandate would allow the board to increase the issue mandate by the number of shares actually repurchased.
• Bonus Share Issue: The AGM will vote on a one-for-ten bonus share issue to existing shareholders.
• Governance Update: A special resolution proposes the adoption of amended and restated bye-laws.
Proxy Instructions: Registered shareholders may appoint a proxy—who is not required to be a member—to attend and vote on their behalf. Completed proxy forms must reach Tricor Investor Services Limited, the Hong Kong branch share registrar, or be lodged electronically by 11:00 a.m. on 15 November 2026.
Attendance Options: Shareholders and proxies can join the hybrid AGM physically or via the Vistra eVoting portal. Login credentials will be distributed by email ahead of the meeting.
