Trio Ind Elec Revises Consultancy Cap with Mr. Kwan Following Co-founder Exit and New Energy Expansion

Bulletin Express09-10

Trio Industrial Electronics Group Limited (“Trio Ind Elec”) has issued a supplemental announcement elaborating on the fourth amendment to its consultancy agreement with founder Mr. Kwan and the associated increase in the 2026 annual cap for discretionary gratuity payments.

The adjustment stems from two material developments:

1. Termination of the parallel consultancy agreement with co-founder Mr. Tai on 31 March 2026. Mr. Tai’s retirement transferred a “substantial portion” of senior consultancy duties—spanning production, operations, sales, management and product development—entirely to Mr. Kwan, elevating his workload and time commitment.

2. Accelerated entry into the new-energy arena. In FY2026 the Group launched an integrated “New Energy + New Media” model in Kazakhstan, combining solar power generation, energy storage, EV-charging (Deltrix infrastructure) and outdoor digital advertising. The broader geographic reach and heightened strategic demands of these projects have increased the scope and complexity of Mr. Kwan’s advisory and business-development responsibilities.

The Board concluded that these factors justify a higher discretionary gratuity and an uplifted annual cap for the year ending 31 December 2026 under the Fourth Supplemental Agreement. All other terms disclosed in the original 31 August 2026 announcement remain unchanged.
