Litian Pictures Holdings Limited will convene its 2026 Annual General Meeting (AGM) on 20 November 2026 at 14:30 (Room 1803, Zhongzhou Building, Jintian Road, Shenzhen). Key items up for shareholder approval include:

1. Financial Statements • Adoption of the audited consolidated financial statements and Directors’ and Auditors’ reports for the year ended 30 June 2026. • The documents have been reviewed by the Audit Committee and will be distributed to shareholders on 27 October 2026.

2. Capital Mandates • General mandate to issue new shares up to 20% of the issued share capital as at the AGM date—equivalent to a ceiling of 100.00 million shares based on the current 500.00 million shares outstanding. • Repurchase mandate for up to 10% of issued shares, allowing buy-backs of up to 50.00 million shares. • Extension mandate permitting the Board to add repurchased shares to the issuance limit, potentially increasing the effective issuance headroom by a further 10% of share capital.

3. Board Composition • Re-election proposals cover five directors: executive directors Yu Ping and Huang Meiyuan, and independent non-executive directors Chen Tong, Jing Quanliang and Liang Jie. • The Nomination Committee and the Board support their re-election based on experience diversity and contribution to governance.

4. Auditor Re-appointment • McMillan Woods (Hong Kong) CPA Limited is nominated for re-appointment as external auditor for the coming financial year, with an estimated audit fee of RMB1.40 million.

5. Shareholder Logistics • Register of members will close from 18 November to 20 November 2026, inclusive. Share transfers for AGM eligibility must be lodged by 16:30 on 17 November 2026. • All AGM resolutions will be voted by poll; proxy forms must be submitted at least 48 hours before the meeting.

Management states that the proposed mandates aim to provide flexibility for future capital management, while the director re-elections and auditor renewal are intended to maintain board continuity and audit efficiency.
