GOFINTECH QUANT to Seek Fresh Share Mandates, Re-elect Two INEDs and Re-appoint Auditor at 28 Aug AGM

GOFINTECH Quantum Innovation Ltd (GOFINTECH QUANT) has released its 2026 AGM circular outlining four key resolutions to be tabled on 28 August 2026 at 11:00 a.m. in Hong Kong.

Key Proposals 1. Capital Mandates • Issue Mandate: Board to request authority to allot and issue up to 2.06 billion new shares (or dispose of treasury shares) – 20% of the current 10.30 billion issued shares. • Repurchase Mandate: Authority to buy back up to 1.03 billion shares, representing 10% of issued share capital. • Extension Mandate: Share repurchases made under the Repurchase Mandate may be added to the Issue Mandate, providing an extra buffer of up to another 10% of issued shares.

2. Board Composition • Re-election of independent non-executive directors Mr Chiu Kung Chik and Ms Lui Mei Ka. – Mr Chiu, serving since 2017 and chairing the Audit and Remuneration Committees, holds 0.512 million awarded shares and an annual fee of HK$0.18 million. – Ms Lui, appointed in 2023 and sitting on the Audit, Nomination and Remuneration Committees, also holds 0.512 million awarded shares and receives HK$0.18 million per year. – The Nomination Committee confirms both directors’ independence; Mr Chiu’s tenure exceeds nine years but the Board deems his continued service beneficial.

3. Auditor Re-appointment • ZHONGHUI ANDA CPA Ltd is nominated for re-appointment as external auditor for FY 2026/27. • Expected audit fee: HK$1.63 million–HK$1.90 million.

Key Timelines • Share register closure for AGM eligibility: 25–28 Aug 2026 (both days inclusive). • Last day to lodge transfers: 24 Aug 2026, 4:00 p.m. • Proxy forms due: 26 Aug 2026, 11:00 a.m.

Capital Structure Snapshot (as of 23 Jul 2026) • Issued shares: 10.30 billion; no treasury shares. • Largest shareholder Dr Liu Zhiwei holds 2.68 billion shares (26.02%). Full use of the Repurchase Mandate would lift his stake to 28.91%, still below the 30% Takeovers Code trigger.

Voting at the AGM will be by poll; no shareholder is required to abstain. The Board recommends that shareholders approve all resolutions.
