YADEA Keeps Share Count Unchanged in May 2026; Only 6,000 Options Lapse

Yadea Group Holdings Ltd (YADEA, HKEX: 01585) reported no changes to its share capital structure for the month ended 31 May 2026, according to the company’s latest monthly return filed on 1 June 2026 with Hong Kong Exchanges and Clearing Limited.

Authorised and Issued Capital • Authorised share capital remained at 5.00 billion ordinary shares with a par value of USD 0.00001 each, equivalent to USD 50,000. • Issued share capital stayed flat at 3.11 billion ordinary shares. • The company continued to have zero treasury shares, and it confirmed full compliance with the Main Board’s minimum 25% public-float requirement.

Share Option Activity • Under the share option scheme adopted on 22 April 2016, 6,000 options lapsed in May, trimming the outstanding balance to 4.24 million options. • No options were exercised; consequently, no new shares were issued and no funds were raised during the month.

Other Equity Instruments • The filing shows no activity involving warrants, convertible securities, or other share-issuance arrangements. • There were no share repurchases, redemptions, or transfers of treasury shares.

Governance Confirmation Chairman and Executive Director Dong Jinggui affirmed that all corporate actions during the period met Hong Kong Listing Rules and other regulatory requirements.
