China Communications Construction Company Limited (CCCC) has released the agenda for its annual general meeting (AGM) scheduled for 18 June 2026 in Beijing. Shareholders will vote on nine resolutions—eight ordinary and one special—covering dividends, financing tools, governance matters and a proposed capital structure adjustment. Key items are as follows:
1. Profit Allocation and Dividends • Shareholders will consider the 2025 profit distribution plan and authorise the Board to declare an interim dividend for 2026.
2. Auditor Appointment • The meeting will vote on appointing the Company’s external auditors for the 2026 financial year and authorising the Board to set their remuneration.
3. Governance Reports • Resolutions include approval of the Board’s 2025 report and the 2025 performance reports of the Independent Directors.
4. Financing Initiatives • Asset-Backed Securitisation (ABS): Management seeks approval to launch ABS financing of up to RMB 99.00 billion. • Bond Issuance: The Company proposes registering and issuing additional bonds; details will be set by the Board subject to shareholder approval. • Financing Guarantees: A cap on the Group’s 2026 guarantee obligations will be presented for approval.
5. Remuneration Framework • Shareholders will vote on a new Policy of Remuneration Management for Directors and Senior Management.
6. Special Resolution—Capital and Articles Amendment • The AGM will consider a change to the registered share capital and corresponding amendments to the Articles of Association.
Shareholders of H-shares must lodge proxy forms with Computershare Hong Kong Investor Services by 9:00 a.m. on 17 June 2026 if they are unable to attend the AGM in person.
