WATTS INT'L Sets 25 June 2026 AGM, Proposes HK$0.0111 Final Dividend and 20% Issuance Mandate

Watts International Maritime Company Limited (WATTS INT'L) will convene its Annual General Meeting (AGM) on 25 June 2026 at 10:00 a.m. in Shanghai. Key items on the agenda are as follows:

• FY2025 Results Adoption Shareholders will vote on the audited consolidated financial statements and the accompanying directors’ and auditor’s reports for the year ended 31 December 2025.

• Dividend Proposal The board recommends a final dividend of HK$1.11 cent (HK$0.0111) per ordinary share, to be paid out of the share premium account.

• Board Composition Re-election of four directors—Mr. Wang Xiuchun, Mr. Wang Likai, Ms. Wang Lifang and Mr. How Sze Ming—is proposed, alongside authorisation for the board to determine directors’ remuneration.

• Auditor Re-appointment PricewaterhouseCoopers is nominated for re-appointment as external auditor. The estimated audit fee for the 2026 financial year is projected at RMB1.50 million–RMB2.00 million.

• Capital Mandates 1) General mandate to allot and issue new shares—capped at 20% of the company’s issued share capital, excluding treasury shares. 2) Share repurchase mandate—up to 10% of issued shares. 3) Extension of the issuance mandate by the number of shares repurchased under the 10% authority.

• Key Dates – Register of members closure: 22 June 2026 to 25 June 2026 (both days inclusive). – Last day to lodge share transfers for AGM eligibility: 18 June 2026, 4:30 p.m. – Record date for AGM voting rights: 25 June 2026.

Shareholders may appoint one or more proxies to attend and vote. All proxy forms must be submitted to Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting.
