Bingo Group Holdings Limited (Bingo Group) and controlling shareholder Mr. Chiau Sing Chi released a joint announcement on 2 July 2026 providing a monthly update on the pending unconditional mandatory cash offers for all issued shares not already owned by the Offeror and parties acting in concert with him, as well as for the cancellation of all outstanding share options.
The Offer Mechanics • Sinolink Securities (Hong Kong) Company Limited will act on behalf of Mr. Chiau Sing Chi (the Offeror) to extend the compulsory cash offer. • The offer follows earlier completion of amendments to HK$19.00 million zero-coupon convertible bonds due 2025 and subsequent conversion that increased the Offeror’s stake.
Status of Composite Document • The Offeror and Bingo Group are finalising information required for the composite offer document. • Despatch is now expected on or before 7 July 2026, in line with the timetable disclosed on 1 June 2026.
Regulatory and Shareholder Guidance • The update was issued in accordance with the Hong Kong Code on Takeovers and Mergers. • Independent shareholders and optionholders are urged to exercise extreme caution when dealing in Bingo Group securities and to seek professional advice if in doubt. • The board has not expressed any view on the fairness or reasonableness of the forthcoming offers at this stage.
Board Composition As of the announcement date, the Bingo Group board comprises five executive directors—Mr. Chiau Sing Chi, Ms. Chow Man Ki Kelly, Mr. Wang Peng, Mr. Lau Man Kit and Ms. Tsang Fung Chu—and three independent non-executive directors—Ms. Choi Mei Ping, Mr. Tsui Wing Tak and Ms. Chan Yuet Ching.
