IMMUNEONCO-B (01541) has announced that on August 6, 2026, the company, along with its non-wholly owned subsidiary ImmuneCare BiomedTech (Shanghai) Co., Ltd. (the target company), entered into a capital increase agreement with Jiaxing Zhangke Lingyi Shengke Qihang Venture Capital Partnership (Limited Partnership) (Shengke Qihang), Suzhou Xinjie Chuangyuan Enterprise Management Partnership (Limited Partnership) (Xinjie Chuangyuan), and Mr. Wang Xueyan (collectively referred to as the investors).
Under the terms of the agreement, the investors have agreed to subscribe for a total of RMB 46.5 million in expanded registered capital, representing approximately 15.83% of the target company's enlarged equity, for a total consideration of RMB 50 million. Concurrently with the capital increase, the target company, as agreed with IMMUNEONCO-B, will convert the outstanding principal and accrued interest totaling RMB 15.86 million that it owes to the parent company under existing loans. This conversion will be based on the same subscription price per share of registered capital applicable to the investors, resulting in an additional RMB 14.75 million in the target company's expanded registered capital.
IMMUNEONCO-B is a clinical-stage biotechnology company focused on developing cancer immunotherapies. The target company is an innovative drug research and development firm specializing in creating novel treatments for metabolic diseases and rare disorders. By bringing in external professional investors, this capital increase not only provides the target company with additional fundraising avenues and strengthens its overall financial standing, but also brings industry experience, strategic resources, and professional networks to support its ongoing research and development efforts. The company believes the capital increase and the transactions contemplated under it align with the group's long-term strategic development goals and are expected to enhance the target company's financial strength.
