YANKUANG ENERGY (01171) Announces Transfer of 100% Equity in Xintai to Ordos Wulan Coal for 3.05 Billion RMB

Yankuang Energy Group Company Limited (01171) disclosed that its wholly-owned subsidiary, Yankuang Energy (Ordos) Company Limited, transferred 100% equity interests in Inner Mongolia Xintai Coal Company Limited (Xintai) through a public tender. An earlier valuation set Xintai’s total equity at 623.54 million RMB, with an initial transfer price of 670.01 million RMB. Following online bidding on 30 January 2026, Ordos Wulan Coal (Group) Co., Ltd. emerged as the transferee at a transaction price of 3.05 billion RMB.

According to the official documents, both parties concluded the Property Rights Transaction Contract on 6 March 2026, specifying that the transferee must pay the entire transfer price in a single installment. Upon completion, Xintai will be excluded from Yankuang Energy Group Company Limited’s consolidated financial statements. The transaction is expected to significantly bolster net profit attributable to shareholders in 2026, subject to audited financial data.

The announcement also highlights risks associated with final payment, registration of state-owned property rights changes, and transition of custodianship, as the winning bidder is not the current trustee of Xintai’s operations. Investors and stakeholders are advised to remain vigilant, bearing in mind the possibility of default and other uncertainties surrounding the final completion of the transaction.
