Country Garden Holdings Company Limited disclosed on 29 July 2026 that it has enlarged its share capital through the conversion of its zero-coupon mandatory convertible bonds (MCB (A), issued 30 June 2025, 78-month tenor).

• Conversion details – Date of conversion: 29 July 2026 – Number of new ordinary shares issued: 32.76 million – Conversion price: HKD 2.60 per share – Dilution effect: 0.0705 % of the pre-event issued share base

• Share capital movement – Opening issued shares (28 July 2026): 46.48 billion – Closing issued shares (29 July 2026): 46.51 billion – Increase: 32.76 million shares

• Treasury and buybacks – No treasury shares were held before or after the transaction. – The company reported no share repurchases, redemptions or on-market sales of treasury shares during the period.

• Compliance confirmation The board affirmed that the share issuance complied with all applicable Hong Kong Stock Exchange listing rules, regulatory requirements and corporate authorisations, and that all proceeds related to the conversion have been duly received.

The modest 0.07 % increase in outstanding shares marginally dilutes existing shareholders while fulfilling obligations under the zero-coupon mandatory convertible bonds issued in 2025.
