iDreamSky (1119) Completes Issuance of New Shares Under General Mandate

iDreamSky Technology Holdings Limited (Stock Code: 1119) announced the completion of its new share issuance under a general mandate on 24 October 2025. The issuance was conducted through a Capitalization Agreement and a Subscription Agreement, resulting in an aggregate of 166,440,983 Subscription Shares issued under the Capitalization Agreement and 69,775,600 Subscription Shares issued under the Subscription Agreement, both at HKD1.098 per share.

The company stated that six subscribers, including management and four strategic shareholders from Hong Kong and the British Virgin Islands, contributed to the new share issue. One subscriber is a foreign employee involved in business cooperation. The strategic investors focus on high-tech industries such as artificial intelligence, big data, and software services, as well as pan-entertainment, consumer, and manufacturing industries.

According to the announcement, the subscription shares represent around 13.09% of the company’s issued share capital (excluding treasury shares) immediately before the transaction and approximately 11.57% of the thus-enlarged issued share capital. Following completion, the total shares of iDreamSky exclude 23,390,000 treasury shares, resulting in a total of 2,041,015,665 shares.

The company’s public shareholding has increased to 73.01% after the transaction, compared to 69.47% before the new share issuance. The completion of the agreements has introduced additional financial support and strategic resources that the company anticipates leveraging for future developments.
