Noble Engineering Completes HK$9.95 Million Share Placement, Enlarges Share Base by 20%

Noble Engineering Group Holdings Limited announced the completion of its share placement on 21 September 2026. The company issued 55.28 million new shares at HK$0.180 per share, raising gross proceeds of HK$9.95 million and net proceeds of HK$9.69 million after fees and expenses.

The new shares equate to 20.00% of the company’s pre-placement issued share capital and dilute to 16.67% of the enlarged share base of 331.66 million shares. All shares were placed with not fewer than six independent third-party investors; no placee became a substantial shareholder under GEM Listing Rules.

Use of funds: • HK$6.00 million (61.94% of net proceeds) will finance upfront costs for a plastering subcontract awarded in May 2026, representing about 6.5% of the contract’s total value. • HK$3.69 million (38.05%) is allocated to general working capital.

Post-placement shareholding shifts: • Land Noble Holdings Limited, jointly owned by Chairman and Executive Director Tse Chun Yuen and Executive Director Tse Chun Kuen, moves from 37.99% to 31.66%. • Public shareholders’ interest (excluding new placees) declines from 41.71% to 34.77%. • The new placees collectively hold 16.67% of the enlarged share capital.

The transaction was executed under the company’s general mandate and fulfils all conditions stipulated in the placing agreement.
