VTech Holdings Limited held its 2026 annual general meeting on 23 July 2026, with every resolution passed by poll. All directors were present.
The audited financial statements for the year ended 31 March 2026 were adopted with 99.93% support (171.92 million votes in favour versus 0.13 million against). A final dividend for the same fiscal year was approved almost unanimously, drawing 172.05 million votes for and only 105 votes against.
Board composition received strong, though varied, backing: • Executive Director Dr Pang King Fai was re-elected with 98.68% approval (169.77 million votes). • Non-executive Director Mr William Wong Yee Lai secured 87.15% support (149.95 million votes). • Independent Non-executive Director Professor Gan Jie gained 84.89% approval (146.05 million votes). • Directors’ fees for FY 2027 were endorsed with 99.99% approval (172.05 million votes).
KPMG was re-appointed as auditor with 89.62% support (154.18 million votes).
Shareholders granted two key mandates, each capped at 10% of the company’s issued share capital of 253.56 million shares: • Share repurchase mandate: 99.43% approval (171.07 million votes). • Share issuance mandate, with a maximum 10% discount to benchmarked price: 98.05% approval (168.69 million votes).
Computershare Hong Kong Investor Services Limited acted as scrutineer. Bank of East Asia (Trustees) Limited, holding 133,700 unvested award shares, abstained from all votes in line with Listing Rule 17.05A.
Following the meeting, VTech’s board continues to comprise Chairman and Group CEO Dr Allan Wong Chi Yun, Executive Directors Dr Pang King Fai and Mr Andy Leung Hon Kwong, Non-executive Director Mr William Wong Yee Lai, and five Independent Non-executive Directors.
