BLACK SESAME Founder Extends Voluntary Lock-Up Period Through 2027

BLACK SESAME (02533) has announced that founder, board chair, executive director, and CEO Mr. Shan Jizhang has voluntarily extended his lock-up commitment for an additional 12 months, from August 8, 2026, to August 7, 2027. This follows a previous voluntary extension that had set the lock-up expiration for August 7, 2026, as disclosed in earlier announcements and the annual report.

Mr. Shan informed the company that this decision reflects his confidence in BLACK SESAME's long-term value and future prospects, as well as his strong belief in the company's strategic transformation into a comprehensive edge-side AI inference solution provider. The lock-up applies to 44.1 million shares he beneficially owns, representing approximately 6.18% of the company's total issued shares (excluding treasury shares) as of the announcement date.

These lock-up shares encompass all shares beneficially held by Mr. Shan at the announcement date, excluding any interests related to options granted under the company's pre-IPO share plan, which was adopted on September 7, 2016, and amended on December 31, 2021.
