Metis TechBio Updates Company Secretary Structure and Obtains Continued Waiver on HKEX Compliance

Metis TechBio Co., Ltd. announced a leadership reshuffle in its company secretariat effective 12 June 2026. Ms. Cheng Yuk Ting has resigned as Joint Company Secretary and authorised representative, while Ms. Chan Hei, a chartered secretary with more than 10 years of corporate governance experience at Tricor Services, assumes both roles. Dr. Chong Fu (alias Dr. Alan Fu) remains the other Joint Company Secretary and continues as chief financial officer and board secretary.

Ms. Chan’s appointment satisfies the Hong Kong Listing Rules following the Hong Kong Stock Exchange’s grant of a new waiver that allows Dr. Fu—who does not yet meet the formal company-secretary qualification under Rule 3.28—to serve through 12 May 2029. The waiver is conditional on Dr. Fu being assisted by Ms. Chan and may be revoked in the event of material breaches of the Listing Rules. Before expiry, Metis TechBio must demonstrate that Dr. Fu has acquired adequate experience to discharge company-secretary duties without further dispensation.

The board expressed gratitude to Ms. Cheng for her service and welcomed Ms. Chan to the leadership team. All changes are effective immediately, and no disagreements with the board were reported in relation to Ms. Cheng’s departure.
