DualityBio Updates Share Capital: 30,000-Share Buyback and 9,000 New Shares Issued Under Pre-IPO Plan

Bulletin Express10-15

Duality Biotherapeutics, Inc. (DualityBio) reported two capital‐structure movements on 15 October 2026 that marginally adjusted its outstanding share count and treasury stock position.

The company repurchased 30,000 ordinary shares on the Hong Kong Stock Exchange at prices ranging between HKD 152.40 and HKD 167.50, for a volume-weighted average cost of HKD 160.97 per share. The transaction totalled HKD 4.83 million and the acquired shares were transferred to treasury, lifting the treasury share balance to 451,100.

Concurrently, 9,000 new ordinary shares were allotted following the exercise of options granted under DualityBio’s Pre-IPO Equity Incentive Plan (adopted 28 February 2021; amended 25 June 2023) at an exercise price of HKD 161.10 per share.

After incorporating both events, the company’s issued share capital (excluding treasury shares) decreased by 21,000, or 0.02%, to 91.39 million shares. Total issued shares inclusive of treasury stock edged up to 91.84 million.

The 30,000-share buyback utilised the general repurchase mandate approved on 26 June 2026, under which DualityBio is authorised to repurchase up to 9.06 million shares. Cumulative repurchases under this mandate now stand at 124,800 shares, representing 0.14% of the issuer’s share count on the mandate date. A 30-day moratorium on new share issues or treasury-share sales runs until 14 November 2026, in line with Hong Kong Stock Exchange regulations.

The board confirmed that all transactions were duly authorised and executed in compliance with the Main Board Listing Rules and relevant legal requirements.
