Risecomm Group Holdings Limited reported a revised timetable for sending its shareholder circular related to proposed loan capitalisation and placing transactions.
The company had initially targeted distribution of the circular by 22 July 2026, following earlier announcements on 27 May, 17 June and 8 July 2026. Citing the need for additional time to finalise required information, management now expects dispatch to occur on or before 4 August 2026.
The forthcoming document will detail the Loan Capitalisation Agreements, the Placing Agreement and associated transactions. It will also include: 1. A recommendation from the Independent Board Committee to independent shareholders on the connected Loan Capitalisation Agreements. 2. An independent financial adviser’s opinion addressing the same connected transactions. 3. A notice convening an extraordinary general meeting.
The board composition remains unchanged, with two executive directors, two non-executive directors and three independent non-executive directors overseeing the process.
Risecomm emphasised that the postponement is solely to ensure completeness and accuracy of the circular’s contents; no other alterations to the proposed transactions were disclosed.
