Moon Inc. today confirmed that Independent Non-Executive Director Chen Xiaobing will resign effective 2 October 2026, citing increasing personal career commitments. Chen leaves with no outstanding disagreements with the Board and departs the Nomination Committee simultaneously.
On the same date, the Board will appoint Shiu Ka Fai, BBS, JP, as an Independent Non-Executive Director and member of the Nomination Committee. Shiu, aged 56, serves as chairman of Hong Kong’s Liberal Party and holds multiple public roles, including membership in the 14th National Committee of the Chinese People’s Political Consultative Conference and the 8th Legislative Council of the Hong Kong SAR. He is also a non-executive director of The Hong Kong Mortgage Corporation Limited and Huiyuan Cowins Technology Group Limited.
Shiu’s appointment letter carries no fixed term; he will receive an annual director’s fee of HK$0.24 million and is subject to rotation and re-election under the company’s articles. Either party may terminate the agreement with one month’s written notice or payment in lieu.
The Board expressed gratitude to Chen for his service and welcomed Shiu’s addition, noting that all independence requirements under Hong Kong listing rules have been met. After these changes, Moon Inc.’s Board will comprise four executive directors, one non-executive director and three independent non-executive directors, maintaining compliance with regulatory composition requirements.
