Livzon Pharma Sets 12 November 2026 EGM to Decide on Board Appointment, Q3 2026 Profit Distribution and 2026-2028 Return Plan

Bulletin Express10-23

Livzon Pharmaceutical Group Inc. (Livzon Pharma) has issued a proxy form for its 2026 Second Extraordinary General Meeting (EGM), scheduled for 12 November 2026 at 2:00 p.m. in the company’s headquarters conference room, 6th Floor, 38 Chuangye North Road, Jinwan District, Zhuhai, Guangdong Province, China.

Shareholders will be asked to vote on three ordinary resolutions:

1. Appointment of Ms. Zhu Linlin as a non-executive director. 2. Approval of the Profit Distribution Plan for the third quarter of 2026. 3. Approval of the Shareholder Return Plan for the next three years (2026-2028).

All shareholders are entitled to attend or to appoint one or more proxies. Completed proxy forms and any related authorisations must reach the Board Secretariat (A-shareholders) or Tricor Investor Services Limited (H-shareholders) no later than 24 hours before the meeting. Completion of the proxy form does not preclude shareholders from attending and voting in person; attendance in person will automatically revoke any submitted proxy.

Votes will be tallied with “For,” “Against,” and “Abstain” options. Any abstention will be counted in the calculation of the required majority, while votes cast in contravention of Hong Kong Stock Exchange rules will be disregarded.

The meeting underscores Livzon Pharma’s upcoming governance adjustment and planned capital-return framework covering the near-term profit distribution and a three-year shareholder return roadmap.
