SCHOLAR EDU Bolsters Share Award Pool with HK$0.09 Million On-Market Buyback

Bulletin Express10-20

Scholar Education Group (SCHOLAR EDU) disclosed that the trustee of its Share Award Scheme purchased 118,000 ordinary shares on-market on 20 October 2026. The transaction, executed at an average price of HK$0.765 per share, represents approximately 0.018% of the company’s issued share capital and carried a total consideration of about HK$0.09 million.

Following the purchase, the trustee’s holding increased to 52.76 million shares, equivalent to 7.83% of SCHOLAR EDU’s outstanding shares. The board stated that the prevailing market price materially understates the group’s intrinsic value, presenting an attractive window to accumulate stock for future awards to selected participants under the Scheme.

Management reiterated confidence in the company’s business outlook and intends to monitor market conditions to authorise further acquisitions when deemed appropriate. Allocation of the purchased shares—and any subsequent tranches—will be determined at the board’s discretion, subject to vesting conditions set by the Share Award Scheme rules.

The latest buyback follows a series of market purchases since the Scheme’s inception in December 2020, underlining SCHOLAR EDU’s commitment to long-term employee incentives and alignment of interests between management, staff and shareholders.
