UC RUSAL Board Approves Registrar Transition from IRC to TEMION

On 24 April 2026, the Board of Directors of United Company RUSAL, International Public Joint-Stock Company (UC RUSAL) resolved to terminate its existing share-register services agreement with Joint-Stock Company Interregional Registrar Center (IRC) and appoint Limited Liability Company TEMION as the company’s new registrar.

The decision was taken at a duly constituted meeting attended by 13 directors; the resolution secured 13 votes in favour, no votes against and one abstention.

Key elements of the adopted resolution include: 1. Termination of agreement No. p-624 dated 25 August 2020 with IRC for maintaining the register of securities holders. 2. Approval of TEMION as the new registrar of UC RUSAL. 3. Endorsement of two contracts with TEMION covering (i) maintenance of the shareholders’ register and (ii) preparation and conduct of general meetings. 4. Instruction to UC RUSAL’s sole executive authority to complete contract termination with IRC, sign the new agreements with TEMION and transfer the shareholder register within 150 days of the Board decision.

The issuer’s ordinary shares (ISIN RU000A1025V3) were first registered on 03 September 2020 and continue to trade on the Main Board of the Hong Kong Stock Exchange under the ticker 00486, alongside listings in Moscow and St. Petersburg.
