Fu Shou Yuan: Gong Hailin Launches Voluntary Partial Cash Offer at HK$0.10 per Share

Gong Hailin, acting through AFG Securities Limited, has opened a voluntary partial cash offer for up to 115.00 million shares in Fu Shou Yuan International Group Limited at HK$0.10 per share.

The offer represents an opportunity for registered shareholders to tender all or part of their holdings, although the total number of shares ultimately purchased from each participant will be adjusted pro-rata if acceptances exceed the 115.00 million-share cap. Fractional entitlements will be rounded at the offeror’s discretion to the nearest whole share.

Key procedural dates and parties: • Closing deadline: 4:00 p.m. (Hong Kong time) on 16 October 2026, unless extended or revised in accordance with the Hong Kong Takeovers Code. • Receiving agent: Union Registrars Limited, Suites 3301-04, 33/F, Two Chinachem Exchange Square, 338 King’s Road, North Point, Hong Kong. • Consideration distribution: Payment cheques marked “Not negotiable – account payee only” will be sent by ordinary post to the address specified on each valid Form of Acceptance.

Acceptance mechanics: 1. Shareholders must complete the Form of Acceptance in full (except areas marked “Do not complete”) and lodge it, together with the relevant share certificate(s) or other title documents, with the receiving agent by the closing deadline. 2. Any acceptance that omits the number of shares, exceeds the holder’s registered balance, or is otherwise incomplete will be rejected. 3. Overseas shareholders are responsible for ensuring compliance with any local regulations governing participation; representations of such compliance are deemed to accompany each acceptance.

Other terms: • Shares tendered but not taken up will be returned within seven business days after the closing date. • All tendered shares must be free from encumbrances and include rights to any dividends or distributions whose record date falls on or after the closing date. • Personal data supplied on the Form of Acceptance may be used for verification, transfer registration, regulatory disclosure and other purposes detailed under the Personal Data (Privacy) Ordinance.

The partial offer, governed by Hong Kong regulatory requirements, allows Fu Shou Yuan shareholders to realize immediate cash on part of their holdings while retaining the balance, subject to possible scaling adjustments if the offer is oversubscribed. No further quantitative terms, financing details or conditions precedent are disclosed in the acceptance form.
