Longhui International Gains 100% Shareholder Backing, Completes HK$6.00 Million Purchase of 51% Stake in Target Company

Longhui International Holdings Limited on 11 September 2026 secured unanimous shareholder approval for its proposed acquisition of a 51% equity interest in the unnamed Target Company and immediately completed the transaction, further consolidating control via a HK$6.00 million zero-coupon promissory note due 2027.

EGM VOTING OUTCOME • The extraordinary general meeting (EGM) held on 11 September 2026 passed the sole ordinary resolution—with 6.90 million votes (100.00%) in favour and none against—authorising: 1) the Sale and Purchase Agreement dated 29 April 2026 (as supplemented); 2) issuance of the HK$6.00 million promissory note; and 3) directors to execute all ancillary actions and documents.

• Of the 189.59 million issued shares, 52.84 million shares (27.87%) held by Chairman and Executive Director Mr. Hung Shui Chak, through Shui Chak Group Limited, were required to abstain from voting due to connected-transaction rules. Consequently, 136.75 million shares were eligible to vote.

TRANSACTION COMPLETION Following shareholder consent, all conditions precedent were met on the same day, enabling immediate completion. The Company issued the zero-coupon promissory note to the vendor as full settlement of the HK$6.00 million consideration.

CORPORATE STRUCTURE IMPACT With the acquisition finalised, Longhui International now controls 51% of the Target Company, which becomes an indirect non-wholly owned subsidiary. The Target Company’s financial results, assets and liabilities will be fully consolidated into Longhui International’s accounts from 11 September 2026.

TRADING STATUS Trading in Longhui International shares has been suspended since 31 March 2025 and will remain halted until further notice.

BOARD ATTENDANCE All directors except Mr. Hung participated in the EGM via real-time communication facilities. The poll was overseen by Computershare Hong Kong Investor Services Limited as scrutineer.
