Hanx Biopharmaceuticals (HANXBIO-B) has scheduled its Annual General Meeting (AGM) for 10:00 a.m. on 24 June 2026 at the company’s Wuhan headquarters. Shareholders will vote on a total of ten resolutions—seven ordinary and three special—covering financial statements, capital mandates and governance updates.

Special resolutions on capital management 1. Articles of Association amendments. 2. General mandate authorising the Board to issue, allot or deal with additional shares—excluding treasury shares—up to 20% of the company’s issued share capital as at the AGM date. The mandate extends to rights issues, option exercise and scrip dividends, and remains valid until the next AGM or earlier revocation. 3. Authority to repurchase up to 10% of outstanding H-shares during the same mandate period. The Board may cancel or hold repurchased shares as treasury stock and adjust registered capital accordingly.
Shareholder logistics • H-share register will close from 18 June 2026 to 24 June 2026, inclusive. Transfers must be lodged by 4:30 p.m. on 17 June 2026 to qualify for AGM attendance and voting. • Proxy forms must reach Tricor Investor Services by 10:00 a.m. on 23 June 2026. • All AGM resolutions will be decided by poll, with results posted on the HKEX and company websites.
Board composition As of the notice date, the Board comprises four executive directors, one non-executive director and four independent non-executive directors, chaired by Dr. Zhang Faming.
