Century Group International Holdings Limited will convene its annual general meeting (AGM) on 28 September 2026 at 11:00 a.m. (14/F, Fairmont House, Central, Hong Kong). Key resolutions to be tabled include refreshed share issuance and repurchase mandates, the re-election of three directors and the re-appointment of the external auditor.
Share capital and proposed mandates • Outstanding share count: 804.75 million shares (HK$0.01 par value). • Issuance mandate: authority to allot and issue up to 20% of issued shares, equal to 160.95 million shares. • Repurchase mandate: authority to buy back up to 10% of issued shares, or 80.48 million shares. • Extension: shares repurchased under the buy-back mandate can be added to the issuance limit.
Board changes • Executive Director Liang Yawen (appointed 24 June 2026) will stand for election. • Independent Non-Executive Directors Law Michael Ka Ming and Chung Man Lai will retire by rotation and offer themselves for re-election.
Auditor • OOP CPA & Co. is nominated for re-appointment. • Estimated audit fee for FY 2026/27: HK$0.37 million–HK$0.40 million, based on the previous year’s scope and workload.
Key shareholder dates • Share register closure: 22–28 September 2026 (both days inclusive). • Last day to lodge share transfers for AGM eligibility: 21 September 2026, 4:30 p.m.
All AGM resolutions will be decided by poll, and results will be published in accordance with Hong Kong Listing Rules.
