Seyond AGM: Shareholders Endorse All Proposals, Approve 20% Issuance Mandate and KPMG Appointment

Hong Kong, 18 June 2026—Seyond Holdings Ltd. reported that every resolution put forward at its Annual General Meeting was approved by substantial margins, reinforcing board strategy and confirming an auditor transition.

All six ordinary resolutions secured the requisite majority, with four items—adoption of FY2025 financial statements, re-election of Executive Directors Dr. Bao Junwei and Dr. Li Yimin, authorisation of directors’ remuneration, and the share buy-back/warrant repurchase mandate—receiving unanimous support of 516.88 million votes (100.00%).

Resolutions on the general share issuance mandate (up to 20% of issued share capital excluding treasury shares) and its extension captured 516.72 million votes in favour (99.97%), with only 0.15 million votes (0.03%) against each proposal.

Shareholders also endorsed the appointment of KPMG as the Company’s auditor following the retirement of Deloitte Touche Tohmatsu, backed by 100.00% of votes cast.

Participation snapshot: • Shares in issue: 1.31 billion • Treasury shares: 1.13 million (non-voting) • Shares held by incentive plan trusts: 14.54 million (abstained) • Voting-entitled shares: 1.29 billion • Votes cast: 516.88 million, implying a turnout of approximately 40.09% of eligible shares.

All directors attended the meeting in person or electronically, and Tricor Investor Services Limited acted as scrutineer for the poll. With the mandates renewed and auditor transition confirmed, Seyond’s board retains full authority to execute its capital management and corporate governance plans in the forthcoming year.
