Senior Material sets 6 Aug 2026 EGM to lift independent directors’ pay and update Articles after HK listing

Shenzhen Senior Technology Material Co., Ltd. (Senior Material) has issued a circular convening a fourth extraordinary general meeting (EGM) on 6 August 2026 in Shenzhen.

Key agenda items:

1. Independent directors’ remuneration • Mainland-based independent directors Sun Zhenzhen and Tang Changjiang will see their annual fees rise from RMB0.08 million to RMB0.10 million (before tax). • Hong Kong-based independent director Leung Shu Sun Sunny will receive HKD0.25 million (before tax). • The new rates will take effect in the month following shareholder approval.

2. Amendments to the Articles of Association • Reflect the company’s dual-listing status after its 23 June 2026 debut on the Hong Kong Stock Exchange. • Update the registered and issued share capital to RMB1.50 billion, representing 1.50 billion ordinary shares divided into 1.35 billion A-shares (90%) and 0.15 billion H-shares (10%). • Clarify the effective date of the revised Articles and related filing authority for the Board.

Logistics • The EGM will start at 14:30 on 6 August 2026 at the company’s headquarters in Guangming District, Shenzhen. • The H-share register will be closed from 3 August to 6 August 2026; holders must lodge transfers by 16:30 on 31 July 2026 to qualify for attendance and voting. • All resolutions will be voted on by poll in accordance with Hong Kong Listing Rules.

The Board recommends shareholders vote in favour of all proposed resolutions, stating that the remuneration adjustment aligns with industry benchmarks and supports the company’s long-term development.
