Central New Energy Holding to Seek 20% Issuance Mandate and Re-elect Three Directors at 26 June AGM

Central New Energy Holding Group Limited will convene its Annual General Meeting (AGM) on 26 June 2026 in Hong Kong to vote on several key resolutions.

Key agenda items:

1. Share Issuance Mandate • The board is requesting a general mandate authorising directors to allot, issue or transfer shares— including treasury shares—of up to 20% of the company’s issued share capital, equivalent to 844.80 million shares based on the current share count.

2. Board Composition • Three directors are standing for re-election: – Non-executive Director: Mr. Qiao Xiaoge – Independent Non-executive Directors: Mr. Wang Wenxing and Dr. Zhou Chunsheng • The Nomination Committee supports their re-appointment after reviewing board structure, skill mix and attendance.

3. Auditor Re-appointment • HLB Hodgson Impey Cheng Limited is nominated to continue as external auditor for the next financial year, with remuneration to be set by the board.

4. Shareholder Logistics • Shareholders recorded on the register by 4:30 p.m. on 22 June 2026 will be eligible to attend and vote. • The share register will be closed from 23 June to 26 June 2026 (both dates inclusive).

The proxy deadline is 48 hours before the AGM. Voting on all resolutions will be conducted by poll, and results will be released via Hong Kong Exchanges and Clearing’s news platform and the company’s website.
