Baidu Executes HK$50.00 Million Share Buyback on 16 September; Cumulative Repurchases Reach 4.44 Million Shares Under 2026 Mandate

Baidu, Inc. (Baidu) disclosed that it repurchased 565,850 Class A ordinary shares on 16 September 2026 via on-exchange transactions in Hong Kong. The purchases were executed at prices ranging from HK$87.85 to HK$89.05 per share, for a total consideration of HK$49.996 million, implying a volume-weighted average price of approximately HK$88.35.

Including this latest transaction, Baidu has bought back 4.44 million shares since activating its repurchase mandate approved on 26 August 2026. The cumulative amount represents 0.162 % of the company’s 2.21 billion issued Class A shares outstanding on the mandate date. All acquired shares are designated for cancellation and have yet to be retired from the share capital register.

Despite the ongoing buybacks, Baidu’s issued share count remained unchanged at 2.21 billion as of 16 September 2026, as the cancelled status has not yet been registered. The company still holds authority to repurchase up to 273.36 million shares, leaving more than 268 million shares available under the current mandate.

Under Hong Kong Stock Exchange rules, Baidu is restricted from issuing new shares or transferring any treasury shares for 30 days following the 16 September transaction, setting a moratorium through 16 October 2026.

The repurchases have been confirmed by the board as fully compliant with the Main Board Listing Rules, and all required regulatory filings and approvals have been satisfied.
